1. Introduction

Welcome to LiveStayy ("Company", "we", "our", "us"). These Terms and Conditions ("Terms") govern your use of the LiveStayy mobile application and website (collectively, the "Platform") operated by LiveStayy Technologies Private Limited.

By downloading, installing, or using our Platform, you agree to be bound by these Terms. If you do not agree with any part of these Terms, you must not use the Platform.

2. Definitions

  • "Owner" refers to any individual or entity that owns, manages, or operates a Paying Guest (PG) accommodation, hostel, co-living space, or rental property and uses the Platform.
  • "Tenant" refers to any individual who resides in or seeks accommodation through properties listed or managed via the Platform.
  • "Caretaker" refers to any individual assigned by an Owner to manage day-to-day operations of a property via the Platform.
  • "User" refers to any Owner, Tenant, or Caretaker who accesses the Platform.
  • "Services" refers to all features, tools, and functionalities offered through the Platform.

3. Eligibility

To use the Platform, you must:

  • Be at least 18 years of age.
  • Have the legal capacity to enter into binding agreements under Indian law.
  • Provide accurate and complete registration information.
  • Comply with all applicable laws and regulations.

4. Account Registration and Security

4.1 Account Creation

You must register an account to use the Platform. You agree to provide accurate, current, and complete information during registration and to update such information as necessary.

4.2 Account Security

You are responsible for maintaining the confidentiality of your account credentials. You agree to:

  • Not share your login credentials with any third party.
  • Immediately notify us of any unauthorized use of your account.
  • Bear full responsibility for all activities conducted through your account.

4.3 Account Verification

We may require identity verification (KYC) including but not limited to Aadhaar card, PAN card, or other government-issued identification. Failure to complete verification may result in limited access to Platform features.

5. Services Provided

LiveStayy provides a property management platform that includes:

  • Rent Management: Automated rent tracking, reminders, and payment facilitation via UPI and other digital payment modes.
  • Tenant Management: Digital onboarding, profile management, document storage, and communication tools.
  • Maintenance Tracking: Complaint registration, assignment, and resolution tracking with photo verification.
  • Financial Reporting: Revenue dashboards, payment history, and expense tracking.
  • Document Management: Secure storage of rental agreements, KYC documents, and receipts.
  • Food Menu Management: Meal planning and menu display for PG accommodations.
  • Bill Splitting: Utility and shared expense splitting among tenants.

6. Payment Terms

6.1 Payment Processing

LiveStayy facilitates payment processing between Owners and Tenants through third-party payment gateways. We are not a bank, payment system operator, or financial institution.

6.2 Transaction Fees

Certain transactions may be subject to processing fees as communicated at the time of transaction. Fee structures may be updated from time to time with prior notice.

6.3 Refunds

Refund policies for rent payments are governed by the agreement between the Owner and Tenant. LiveStayy is not responsible for refund disputes between parties. Platform subscription refunds are subject to our cancellation policy.

7. User Obligations

7.1 For Owners

  • Provide accurate property information and maintain updated listings.
  • Comply with all local laws regarding rental properties including fire safety, building codes, and tenant rights.
  • Ensure properties meet minimum habitability standards.
  • Honor agreements made with tenants through the Platform.

7.2 For Tenants

  • Make timely rent payments as agreed.
  • Use the property responsibly and in accordance with any house rules.
  • Report maintenance issues promptly through the Platform.
  • Not sublet or transfer occupancy without Owner consent.

8. Prohibited Activities

Users shall not:

  • Use the Platform for any unlawful purpose.
  • Upload false, misleading, or fraudulent information.
  • Attempt to gain unauthorized access to any part of the Platform.
  • Reverse engineer, decompile, or disassemble any part of the Platform.
  • Use automated systems (bots, scrapers) to access the Platform.
  • Harass, threaten, or discriminate against other users.
  • Upload malicious code, viruses, or harmful content.
  • Circumvent or disable any security features of the Platform.

9. Intellectual Property

All content, features, and functionality of the Platform, including but not limited to text, graphics, logos, icons, software, and the overall design, are owned by LiveStayy Technologies and protected by Indian and international intellectual property laws.

You are granted a limited, non-exclusive, non-transferable license to use the Platform for its intended purposes. This license does not include the right to modify, distribute, or create derivative works from the Platform.

10. Disclaimer of Warranties

The Platform is provided "as is" and "as available" without warranties of any kind, either express or implied. We do not guarantee:

  • Uninterrupted or error-free access to the Platform.
  • The accuracy or completeness of any information provided through the Platform.
  • That the Platform will meet your specific requirements.
  • The quality, safety, or legality of any property listed on the Platform.

11. Limitation of Liability

To the maximum extent permitted by applicable law, LiveStayy Technologies shall not be liable for:

  • Any indirect, incidental, special, consequential, or punitive damages.
  • Any loss of profits, data, or business opportunities.
  • Disputes between Owners and Tenants.
  • Property damage, personal injury, or any harm arising from the use of listed properties.
  • Actions or omissions of third-party payment processors.

Our total cumulative liability shall not exceed the amount you paid to us in the twelve (12) months preceding the claim.

12. Indemnification

You agree to indemnify, defend, and hold harmless LiveStayy Technologies, its officers, directors, employees, agents, and affiliates from any claims, damages, losses, or expenses (including reasonable attorney's fees) arising from:

  • Your use of the Platform.
  • Violation of these Terms.
  • Violation of any applicable law or regulation.
  • Infringement of any third-party rights.

13. Termination

We may suspend or terminate your account at our discretion if:

  • You breach any provision of these Terms.
  • Your account is involved in fraudulent or illegal activities.
  • You fail to complete required verification processes.
  • We discontinue the Platform or any of its features.

You may terminate your account at any time by contacting our support team. Upon termination, your right to use the Platform ceases immediately, though certain provisions of these Terms shall survive termination.

14. Dispute Resolution

14.1 Governing Law

These Terms are governed by and construed in accordance with the laws of India.

14.2 Arbitration

Any dispute arising out of or relating to these Terms shall be resolved through binding arbitration in accordance with the Arbitration and Conciliation Act, 1996. The seat of arbitration shall be Bangalore, India.

14.3 Jurisdiction

Subject to the arbitration clause, the courts of Bangalore, Karnataka, India shall have exclusive jurisdiction over any disputes arising from these Terms.

15. Data Protection

Your use of the Platform is also governed by our Privacy Policy, which describes how we collect, use, store, and protect your personal information in compliance with the Information Technology Act, 2000, and the Digital Personal Data Protection Act, 2023.

16. Modifications to Terms

We reserve the right to modify these Terms at any time. Material changes will be communicated through the Platform or via email at least 30 days before they take effect. Continued use of the Platform after changes constitutes acceptance of the modified Terms.

17. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

18. Entire Agreement

These Terms, together with our Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and LiveStayy Technologies regarding the use of the Platform.
